General Terms and Conditions of Sale

2. Purpose

These General Terms and Conditions of Sale (GTC) govern the terms of sale, booking and performance of services offered via the website www.hodemiadz.com.

Any order implies unreserved acceptance of these GTC.

3. Target audience

The services offered are exclusively for businesses, organizations, executives and professionals.

4. Services offered

HODEMIA CONSULTING offers:

• Compliance assessment
• Implementation of a compliance program
• Compliance & Ethics training
• Individual and group coaching
• Leadership & Compliance seminars

Each service is described and detailed in a personalized quote.

5. Price

Prices are expressed in euros (€). All rates are established based on a quote following an analysis of the client’s needs.

HODEMIA CONSULTING reserves the right to modify its prices at any time. The applicable price is that of the quote approved by the client.

6. Order

An order is considered firm when:

• The quote is signed or validated electronically by the client.
• The requested deposit has been paid.
• A confirmation is sent by HODEMIA CONSULTING.

7. Payment

Consulting, training and coaching services are invoiced on the basis of the approved quote. Accepted payment methods:

• Bank transfer
• International bank cards

Terms:

• 50% deposit upon order
• 50% at the start or upon delivery of the service (as per contract)

All payments are made in euros (€).

8. Cancellation and refund

Cancellation by the client

• More than 14 days before the scheduled date: refund possible excluding expenses incurred
• Between 7 and 14 days: 50% of the total amount due
• Less than 7 days: no refund

Booked training courses, coaching sessions and seminars are non-refundable but can be rescheduled subject to availability.

Cancellation by HODEMIA CONSULTING

In the event of an exceptional circumstance, HODEMIA CONSULTING may postpone or refund the service in full.

9. Delivery of services

Services can be provided in the form of:

• Videoconference sessions
• In-person training
• Digital documents and reports
• On-site client workshops

The deadlines are indicated in each quote.

10. Client obligations

The client agrees to provide the information, documents and access necessary for the performance of the services.

11. Intellectual property

All materials, methods, documents, modules and content provided by HODEMIA CONSULTING remain its exclusive property. Any reproduction or distribution without authorization is prohibited.

12. Confidentiality

HODEMIA CONSULTING guarantees the confidentiality of the data provided by the client. The client also agrees not to disclose the methods or documents transmitted.

13. Limitation of liability

HODEMIA CONSULTING cannot be held responsible for:

• Internal decisions made by the client
• Incorrect application of recommendations
• Consequences of a regulatory breach independent of the service
• Improper use of deliverables

14. Force majeure

In the event of an unforeseen event (catastrophe, pandemic, instability…), the obligations of both parties are temporarily suspended.

15. Applicable law

These Terms and Conditions are governed by the laws of the United Arab Emirates. Disputes will be submitted to the competent courts of Abu Dhabi after an attempt at amicable resolution.
